1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of Tranvoro, including its website, applications, customer portal, APIs, integrations, AI-assisted functionality, MCP functionality, and related services (collectively, the “Service”).

Tranvoro is an independently operated software service providing cloud-based transportation and logistics management tools.

References to “Tranvoro,” “we,” “us,” or “our” mean the operator of the Tranvoro service.

By creating an account, accepting an invitation, accessing the Service, or using the Service, you agree to these Terms.

If you create or manage a Tranvoro organization on behalf of a company or other organization, you represent that you have authority to act on its behalf.

If you do not agree to these Terms, you must not use the Service.

2. Business Use

Tranvoro is primarily intended for businesses and professionals involved in transportation, freight forwarding, logistics, supply-chain management, and related activities.

You may use the Service only if you are legally permitted to enter into these Terms and use the Service under applicable law.

3. Accounts

You must provide accurate and current information when creating an account.

You are responsible for:

  • maintaining the confidentiality of your credentials;
  • protecting access to your account;
  • activity performed through your account;
  • promptly reporting suspected unauthorized access; and
  • keeping your account information current.

You must not share individual user credentials to circumvent user, security, or subscription restrictions.

4. Organizations and Administrators

Tranvoro accounts may belong to an organization or tenant.

Organization owners and administrators may be able to:

  • invite or remove users;
  • assign roles and permissions;
  • manage company settings;
  • manage shipments and operational information;
  • manage customers and CRM information;
  • configure integrations;
  • access organization data;
  • manage subscriptions; and
  • perform other administrative actions.

The organization is responsible for determining which individuals should receive access and which permissions they should receive.

5. Authority to Create an Organization

If you create a Tranvoro organization for a company or other legal entity, you confirm that you are authorized to do so.

Your acceptance of these Terms applies both to your personal use of the Service and, where applicable, your actions on behalf of that organization.

Other users invited to an organization must separately accept these Terms before using their accounts.

6. Free Trials

Tranvoro may provide a free trial.

The duration and functionality of a trial will be displayed when the trial begins.

During a trial:

  • functionality may be limited;
  • usage limits may apply;
  • some integrations or features may be unavailable;
  • sample data may be provided; and
  • Tranvoro may change trial conditions for future trials.

When a trial expires, access may be limited until an eligible subscription is purchased.

Tranvoro may prevent repeated trial registrations intended to circumvent subscription requirements.

7. Demo Data

You may have the option to create a Tranvoro organization with demonstration data.

Demo data is provided only to demonstrate Tranvoro functionality.

It may include fictional:

  • customers;
  • contacts;
  • shipments;
  • quotations;
  • charges;
  • invoices;
  • documents;
  • tasks;
  • tracking events;
  • CRM records;
  • operational records; and
  • other sample information.

Demo data must not be relied upon as real operational, financial, legal, regulatory, or commercial information.

Tranvoro may allow you to permanently remove demo data.

You are responsible for ensuring that information you wish to retain has been saved separately before removing demo data.

8. Subscription Plans

Certain Tranvoro functionality requires a paid subscription.

Each published plan includes the generally available functionality of the Service. Plans are priced primarily by the number of internal users and may vary according to factors including:

  • the base subscription price;
  • the number of internal users included;
  • the price of additional internal users;
  • document storage allowance;
  • onboarding, migration, and support services; and
  • other commercial terms displayed when subscribing or agreed in writing.

Customer-portal users do not count as internal users for subscription pricing.

Beta, preview, experimental, or unreleased functionality is not included in a plan by default and is governed by Section 26.

Your applicable plan, billing cycle, price, and included functionality are those presented when you subscribe.

9. Paddle and Payments

Tranvoro uses Paddle to process paid subscriptions.

Paddle acts as Tranvoro's online reseller and Merchant of Record for purchases processed through Paddle.

The purchase transaction is processed by Paddle, while your right to access and use Tranvoro remains governed by these Terms.

Paddle handles payment processing, applicable transaction taxes, payment-related receipts and invoices, and order-related payment support.

Tranvoro does not receive or store your complete payment-card details for transactions processed by Paddle.

Your transaction may also be subject to Paddle's Buyer Terms and Refund Policy.

10. Subscription Renewal

Subscriptions may automatically renew according to the billing period displayed at purchase.

Unless cancelled, Paddle may charge the applicable subscription amount at each renewal.

You may cancel an eligible subscription through the available subscription-management functionality or Paddle's buyer portal.

Cancellation normally takes effect at the end of the current paid billing period unless applicable law requires otherwise.

11. Refunds

Refunds are governed by the Tranvoro Refund & Cancellation Policy and applicable Paddle policies.

Nothing in these Terms limits rights that cannot legally be excluded.

12. Customer Data

“Customer Data” means information submitted, uploaded, generated, stored, or transmitted through Tranvoro by or on behalf of a customer.

Customer Data may include:

  • shipment information;
  • customer and contact information;
  • quotations;
  • rates;
  • charges;
  • invoices;
  • documents;
  • routing information;
  • cargo information;
  • communication records;
  • CRM information;
  • operational records;
  • integration data; and
  • related business information.

As between Tranvoro and the customer, the customer retains its rights in Customer Data.

You grant Tranvoro the limited rights necessary to host, process, copy, transmit, display, secure, back up, and otherwise handle Customer Data for purposes of providing and operating the Service.

13. Responsibility for Customer Data

You are responsible for ensuring that you have the legal right and necessary permissions to submit and process Customer Data through Tranvoro.

You must not knowingly submit data that:

  • violates applicable law;
  • infringes third-party intellectual-property rights;
  • violates privacy or confidentiality obligations;
  • was obtained unlawfully; or
  • you are otherwise prohibited from processing.

14. Privacy

Tranvoro's handling of personal information is described in the Tranvoro Privacy Policy.

Organizations using Tranvoro are responsible for determining whether their use of personal information through the Service complies with applicable privacy and data-protection laws.

15. Security

Tranvoro uses reasonable technical and organizational measures designed to protect the Service and Customer Data.

No online service can guarantee complete security.

Customers are responsible for:

  • protecting credentials;
  • controlling user access;
  • assigning appropriate roles;
  • protecting API keys and tokens;
  • securing devices accessing Tranvoro; and
  • removing access when it is no longer required.

You should notify Tranvoro promptly if you become aware of unauthorized access to your account.

16. Acceptable Use

You must not use Tranvoro to:

  • violate applicable law;
  • commit fraud;
  • gain unauthorized access to accounts or systems;
  • distribute malware or malicious software;
  • interfere with the Service;
  • bypass security controls;
  • conduct unauthorized security testing;
  • abuse APIs or infrastructure;
  • impersonate another individual or organization;
  • infringe intellectual-property rights;
  • unlawfully process personal or confidential information;
  • circumvent subscription or usage restrictions; or
  • engage in activity that materially threatens Tranvoro or its users.

Tranvoro may restrict or suspend activity reasonably believed to violate these requirements.

17. API Access

Tranvoro may provide APIs allowing customers and authorized third parties to interact programmatically with the Service.

You are responsible for:

  • protecting API credentials;
  • restricting API access;
  • actions performed using credentials issued to your organization;
  • respecting documented limits; and
  • ensuring integrations comply with applicable laws and these Terms.

Tranvoro may introduce, modify, version, limit, or deprecate APIs.

Where commercially reasonable, Tranvoro will provide notice before material changes to supported production APIs.

18. MCP and AI Agent Access

Tranvoro may allow customers to connect AI assistants, agents, Model Context Protocol (“MCP”) clients, or other automated software to their Tranvoro accounts.

When you authorize such access, the connected system may be able to read or modify Tranvoro data within the permissions granted to it.

You are responsible for:

  • choosing which systems to authorize;
  • reviewing permissions granted;
  • protecting authentication credentials;
  • reviewing important actions performed by automated systems; and
  • revoking access when it is no longer required.

Tranvoro is not responsible for independent actions or security practices of third-party AI tools or services that you choose to connect.

19. AI-Assisted Features

Tranvoro may provide artificial-intelligence or automated functionality, including features that:

  • extract information;
  • generate suggestions;
  • classify information;
  • analyze operational data;
  • prepare content;
  • recommend actions; or
  • automate workflows.

AI-generated or automated results may be inaccurate, incomplete, or inappropriate for a specific situation.

You remain responsible for reviewing material output before relying on it for operational, commercial, financial, customs, regulatory, or legal decisions.

AI functionality is provided as an assistance tool and not as a guarantee of correctness.

20. Integrations and Third-Party Services

Tranvoro may integrate with third-party software, APIs, data providers, carriers, email systems, payment providers, AI providers, or other services.

Your use of third-party services may be governed by separate terms.

Tranvoro does not control third-party services and cannot guarantee their continued availability or accuracy.

Changes made by a third-party provider may affect an integration.

21. Transportation and Logistics Information

Tranvoro is software.

Unless expressly agreed otherwise, Tranvoro is not acting as:

  • a freight forwarder;
  • carrier;
  • customs broker;
  • insurer;
  • financial institution;
  • tax adviser;
  • legal adviser; or
  • regulatory adviser.

You remain responsible for verifying information relevant to actual transportation operations, including:

  • rates;
  • charges;
  • schedules;
  • routing;
  • shipment instructions;
  • documentation;
  • cargo information;
  • customs information;
  • carrier information;
  • insurance requirements; and
  • regulatory requirements.

Information obtained from integrations or third parties may be delayed, inaccurate, or incomplete.

22. Electronic Communications

Tranvoro may enable users to send emails, invitations, notifications, alerts, or other electronic communications.

You are responsible for ensuring that communications initiated through your account are lawful and appropriate.

Delivery cannot be guaranteed because it may depend on third-party networks and providers.

23. Intellectual Property

Tranvoro retains all applicable rights in the Service, including its:

  • software;
  • designs;
  • interfaces;
  • documentation;
  • platform architecture;
  • APIs;
  • workflows;
  • databases;
  • trademarks;
  • branding; and
  • related technology.

These Terms give you a limited right to use the Service while your account is authorized.

They do not transfer ownership of Tranvoro technology to you.

24. Feedback

If you voluntarily provide ideas, feedback, or suggestions about Tranvoro, Tranvoro may use them to develop or improve the Service without compensation or restriction.

This does not grant Tranvoro ownership of your Customer Data or confidential business information.

25. Service Availability

Tranvoro aims to provide a reliable Service but does not guarantee uninterrupted availability unless a separate written Service Level Agreement states otherwise.

Service interruptions may occur because of:

  • maintenance;
  • deployments;
  • infrastructure failures;
  • third-party outages;
  • cybersecurity incidents;
  • network problems; or
  • circumstances outside reasonable control.

26. Beta and Preview Features

Features identified as beta, preview, experimental, development, or early access may:

  • change;
  • contain defects;
  • have limited support;
  • operate differently from production functionality; or
  • be discontinued.

Do not rely on beta functionality for critical operations unless Tranvoro expressly indicates that it is suitable for such use.

27. Service Changes

Tranvoro may modify and improve the Service over time.

Features may be introduced, changed, or discontinued.

We will use reasonable efforts to avoid materially removing core paid functionality during an active subscription without appropriate reason or notice.

28. Suspension

Tranvoro may suspend some or all access where reasonably necessary because of:

  • material violation of these Terms;
  • overdue payments;
  • fraud;
  • unlawful use;
  • security risks;
  • abuse of the Service; or
  • activity presenting material risk to Tranvoro, another customer, or a third party.

Where reasonably possible, Tranvoro will provide notice and an opportunity to remedy the issue.

29. Termination

You may stop using Tranvoro at any time.

Paid subscriptions may be cancelled according to the applicable subscription and cancellation terms.

Tranvoro may terminate or suspend an account for a material violation of these Terms, unlawful activity, serious security risks, or prolonged non-payment.

30. Data After Termination

When an account or subscription ends, access to Customer Data may become unavailable.

Where technically and legally feasible, Tranvoro may provide a limited period for exporting Customer Data.

Data may subsequently be deleted according to Tranvoro's retention practices, subject to backups, legal requirements, security records, and other legitimate retention requirements.

Customers should maintain appropriate copies of important business records.

31. Confidentiality

Each party may receive non-public business, commercial, or technical information belonging to the other.

The receiving party will use reasonable safeguards and use such information only for appropriate purposes related to the Service.

Confidentiality obligations do not apply to information that:

  • becomes public without breach;
  • was lawfully known previously;
  • is independently developed;
  • is lawfully received without confidentiality restrictions; or
  • must legally be disclosed.

32. Disclaimer

To the maximum extent permitted by applicable law, Tranvoro is provided on an “as available” basis.

Tranvoro does not guarantee that:

  • the Service will always be uninterrupted;
  • every feature will be error-free;
  • third-party information will be accurate;
  • AI-generated information will be accurate; or
  • the Service will satisfy every specific business requirement.

Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

33. Limitation of Liability

To the maximum extent permitted by applicable law, Tranvoro will not be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, lost revenue, lost business opportunities, or loss resulting from business interruption.

Except for liability that cannot legally be limited, Tranvoro's total aggregate liability arising from the Service will not exceed the subscription fees paid for the affected Tranvoro organization during the 12 months immediately before the event giving rise to the claim.

34. Indemnification

To the extent permitted by law, you agree to indemnify Tranvoro against third-party claims resulting from:

  • unlawful Customer Data;
  • your infringement of third-party rights;
  • material violation of these Terms;
  • misuse of Tranvoro by users under your control; or
  • your business activities independent of Tranvoro.

35. Changes to These Terms

Tranvoro may update these Terms.

The latest version will display its effective date.

For material changes, Tranvoro may provide notice by email, within the Service, or through another reasonable method.

Tranvoro may require users to accept updated Terms before continuing to use the Service where appropriate.

36. Entire Agreement

These Terms, the Privacy Policy, Refund & Cancellation Policy, and any separate written agreement applicable to your organization form the agreement governing use of Tranvoro.

A separately signed agreement may take precedence where it expressly states that it overrides these Terms.
